Florida law requires every corporation to hold annual shareholders meetings and regular directors meetings and to keep written minutes of those meetings. If you fail to comply with those requirements, you may lose your corporate insulation from liability. Also, if you fail to file the state’s Uniform Business Report in a timely fashion the Florida Division of Corporations will administratively dissolve your corporation. The fee to reinstate your corporation payable to the Florida Division of Corporations is $600.00. We know that you are busy enough running your business and probably don’t have time to keep up with changes in Florida corporate law much less prepare minutes for shareholder and director meetings.
